CEO Life Membership Agreement

This Agreement outlines the relationship between you (the Member) and CEO Life Corp. It is designed to ensure an extraordinary, high-trust experience for all our executive leaders.
What This Agreement Does: It confirms your membership, outlines the shared standards of conduct, and protects the integrity of our private community.
The Core Principle: Membership is a conditional privilege extended to leaders who align with our values. We are committed to protecting the community's value for everyone.

SECTION 1: MEMBERSHIP OVERVIEW & COMMUNITY INTENT

1.1 Purpose of Agreement:
A Partnership for Integrity This agreement defines the rules of engagement for our community, ensuring a high-trust environment for all members. This Membership Agreement (“Agreement”) governs participation in the CEO Life community. CEO Life is a private, curated leadership community designed for CEOs, founders, executives, and senior leaders who value meaningful connection, personal growth, and collective impact.
1.2 Nature of Membership:
A Conditional Privilege Membership is a privilege. It grants you access to our community but does not give you ownership or employment status. Membership grants a limited, revocable, non-transferable license to participate in CEO Life experiences, programming, and community environments. Membership does not confer ownership, partnership, equity, employment, or agency of any kind.
1.3 Community-Centered Intent:
The Collective Comes First We prioritize the health of the entire community over individual preferences. Decisions are made to protect the collective trust and experience. We will always prioritize the health and trust of the community over any single member's preference. This principle guides all enforcement. CEO Life exists to protect the integrity, trust, and quality of its community. All provisions of this Agreement are interpreted and enforced with the primary objective of safeguarding the collective experience of the membership as a whole. Individual preferences, expectations, or outcomes do not supersede the best interests of the community.

SECTION 2: MEMBERSHIP ELIGIBILITY & STANDARDS

2.1 Eligibility & Selective Admission
Admission is by invitation only. We select members based on their leadership role, values, and willingness to contribute to the community. CEO Life is a selective, private community. Membership is offered by invitation or approval only and is extended at the sole discretion of CEO Life.
Eligibility is based on factors including, but not limited to:
• Leadership role or executive responsibility
• Professional experience and maturity
• Alignment with the values and intent of the CEO Life community
• Willingness to contribute positively to the collective environment CEO Life reserves the right to approve, deny, or revoke membership at any time if eligibility criteria are no longer met.
2.2 Member Conduct & Leadership Standards
We expect high standards of behavior. Act with integrity, respect confidentiality, and treat others with professionalism. Members are expected to conduct themselves in a manner consistent with the standards of a high-trust, executive-level community.
This includes:
• Acting with integrity, professionalism, and respect
• Engaging in constructive, non-disruptive communication
• Respecting the confidentiality and privacy of other members
• Refraining from behavior that undermines trust, safety, or cohesion
Respect & Anti-Harassment: CEO Life is committed to a safe and inclusive environment. We strictly prohibit any form of harassment, discrimination, or abusive behavior based on race, gender, religion, or any other protected characteristic. Such conduct is grounds for immediate termination. CEO Life maintains sole discretion in determining whether conduct aligns with community standards.
2.3 No Guaranteed Outcomes
We provide the environment, but we cannot guarantee specific business results or financial returns from your participation. Membership in CEO Life does not guarantee specific business results, financial outcomes, referrals, opportunities, or personal benefits. Value is derived from participation in a curated environment, not from promised outcomes or individualized results.

SECTION 3: FEES & FINANCIAL COMMITMENT

3.1 Membership Fees
Fees are due upon enrollment and cover your access to the community for the selected term. Membership fees are established at the time of enrollment and are payable in full according to the selected membership and payment option.
3.2 Non-Refundable Fees: Commitment to the Community
Membership fees are non-refundable and non-transferable. Your commitment supports the resources we dedicate to the community. To ensure the quality and commitment of our curated community, all fees are NON REFUNDABLE, as resources are allocated immediately upon enrollment. All membership fees are NON-REFUNDABLE and NON-TRANSFERABLE. Membership fees are not tied to event attendance, participation level, usage, or outcomes, and no refunds, credits, or prorations will be issued for any reason.
Cancellation Policy: If you cancel your Membership, you may use your Membership until the end of your then-current Membership Term; your Membership will not be renewed after your then-current Membership Term expires.
3.3 Payment Authorization
You authorize us to process your membership payments. Please keep your payment information current to avoid interruption. By enrolling, the Member authorizes CEO Life to process payment using the selected payment method. Failure to complete payment may result in delayed access, suspension, or cancellation of membership.

SECTION 4: CONFIDENTIALITY & TRUST

4.1 Confidential Nature of the Community: Protecting the Safe Space
What happens here, stays here. You agree to keep all community discussions and member information strictly confidential. What is shared in the community stays in the community. This includes all discussions, both in-person and digital. Members acknowledge that conversations, information, materials, and interactions within the community are Confidential Information. Members agree to respect the confidentiality of all non-public information shared by other members, speakers, partners, or CEO Life, whether disclosed verbally, digitally, or in writing, including all discussions within peer group experiences, sessions and digital messaging channels.
4.2 Member Confidentiality Obligations
Do not share other members' personal or business details outside the community. This includes social media tagging without permission. Members shall not disclose, reproduce, share, or misuse Confidential Information obtained through CEO Life, including but not limited to:
• Personal or professional information of other members
• Business strategies, financial details, or proprietary insights
• Private discussions, communications, or shared experiences
Social Media Privacy: Members shall not publicly identify other members, tag them in social media posts, or disclose their attendance at private CEO Life events without their express verbal or written consent. Breach of this Section 4 is considered a material breach of this Agreement and is grounds for IMMEDIATE TERMINATION of membership.
4.3 Community Content & Collective Wisdom
You own your own data, but the collective insights generated by the community belong to CEO Life and cannot be sold or repackaged. While Members retain ownership of their individual business data and proprietary information shared, Members acknowledge that the synthesized insights, collective wisdom, and aggregated content generated during peer-group experiences, sessions and community programming are the property of CEO Life. Members shall not reproduce, package, or commercially exploit such collective content without the express written consent of CEO Life.

SECTION 5: NON-SOLICITATION & NON DISPARAGEMENT

5.1 Non-Solicitation Policy:
Maintaining the Integrity of the Peer Group This is a "safe haven." Do not pitch, sell, or market to other members unless they explicitly ask you to. This is a strictly non-solicitation environment. Do not pitch, sell, or market to any other member unless they have explicitly requested it verbally or in writing. The CEO Life community is a strictly non-solicitation environment. Members agree not to engage in any unrequested commercial contact with other Members, their families, or their guests. Solicitation is defined as any unrequested attempt to sell, market, promote, or pitch products, services, or business opportunities to another Member, whether directly or indirectly, in person, via email, phone, digital platform, or social media. Breach of this policy is a material breach of this Agreement and is grounds for IMMEDIATE TERMINATION.
5.2 No Public Disparagement During Disputes
If we have a disagreement, let's resolve it privately. Publicly damaging the community's reputation is grounds for termination. Members agree not to publicly disparage, misrepresent, or escalate disputes related to CEO Life while an internal review is pending. Public statements, posts, or communications that materially harm the community, its members, or CEO Life may result in suspension or termination of membership.

SECTION 6: SUSPENSION, TERMINATION & ENFORCEMENT

6.1 Right to Suspend or Terminate:
Protecting the Community We reserve the right to end your membership if your behavior harms the community. This decision is final. We have the sole discretion to terminate membership if your conduct compromises the community. This is not subject to appeal. CEO Life reserves the right to suspend or terminate a Member’s participation at any time, with or without notice, if the Member’s conduct, behavior, or actions are determined to be inconsistent with the standards, values, or intent of the CEO Life community. This determination is made at the sole discretion of CEO Life and is not subject to appeal.
6.2 Grounds for Immediate Termination
We may terminate membership immediately for serious violations like breaching confidentiality, solicitation, or harassment. Termination or suspension may occur for reasons including, but not limited to:
• Breach of Confidentiality (Section 4).
• Breach of the Non-Solicitation Policy (Section 5).
• Conduct that disrupts the integrity, safety, or trust of the community.
• Misuse of access to members, platforms, or experiences.
• Misrepresentation or unethical behavior.
• Failure to comply with this Agreement or CEO Life policies.
6.3 Effect of Termination
If membership ends, access stops immediately and no refunds are issued. Upon termination or suspension:
• All access to CEO Life platforms, events, and communications will immediately cease.
• Any unused portion of the membership term is forfeited.
• No refunds, credits, or compensation will be issued.

SECTION 7: LEGAL FRAMEWORK & ACKNOWLEDGMENTS

7.1 Binding Arbitration & No Class Actions
Disputes will be resolved through individual arbitration, not in court or through class actions. Any dispute that cannot be resolved internally shall be resolved through final and binding arbitration. Members agree that any dispute must be brought in an individual capacity and not as part of a class, collective, or representative action.
7.2 Limitation of Liability
Our financial liability to you is limited to the amount of membership fees you have paid. Total liability, if any, shall not exceed the amount of membership fees paid by the Member during the applicable membership term.
7.3 Acknowledgment
By joining, you confirm that you understand and agree to these rules. By enrolling in CEO Life, the Member affirms that they have read, understood, and voluntarily agreed to this Agreement in its entirety and acknowledge that membership is a privilege, not an entitlement.
7.4 Media Consent & Release
We may use photos or video from events for marketing, but we will respect your privacy if you ask us to remove specific content. By participating in CEO Life experences, events and programming, the Member grants CEO Life the irrevocable right and permission to photograph, film, record, and use their name, likeness, image, voice, and appearance in any media (now known or hereafter devised) for marketing, promotional, or educational purposes, without further compensation or permission. Member releases CEO Life from any liability related to such use.
Privacy Commitment: CEO Life acknowledges the private nature of its community and agrees to exercise this right with discretion. We will honor reasonable requests to remove content that a Member feels compromises their privacy. SIGNATURE & ACCEPTANCE

By enrolling in CEO Life and executing this Agreement, the Member confirms that they have read, understood, and agree to be bound by all terms and conditions set forth in this Membership Agreement.
